Re: Procter & Gamble v. Haugen
      Our file No. 704679-2

Dear Mr. Delaney:

This is in response to your letter of December 10, 1997 and your subsequent
telephone inquiries concerning Mr. Schwartz's willingness to enter
discussions with you.

Mr. Schwartz is not willing to talk directly to you or Mr. Mohr or any other
Amway representative alone.

You have referred to a dispute or disputes between Amway and Mr. Schwartz,
but no claim has been filed against him. Further, he does not believe
anything about his web site or his conduct in other respects is actionable
by Amway.

If you or Amway believe otherwise, you are invited to identify your concerns
and any proposed remedies you would suggest.

If you do so, Mr. Schwartz will consider your concerns and respond to you
with respect to them.

                                   Very truly yours,

                                   O. Meredith Wilson

As there was apparently a miscommunication on our part, the above letter was followed up with the one below to make it clear that any communication between Amway and myself will be in writing.

Re: Our file No. 704679-2

Dear Mr. Delaney:

Thank you for your letter of December 22. I apologize for not making myself
clear in my December 19 letter to which you responded.

Sidney Schwartz does not now wish to meet with you or Mr. Mohr, or any other
Amway representative, alone or with me.

If you will indicate in writing what your legal or other concerns are with
respect to Mr. Schwartz's website or his conduct, he will consider those
concerns and respond to them in writing through me.

                                   Very truly yours,

                                   O. Meredith Wilson
